Terms of Service

IMPORTANT NOTICE: THESE TERMS ARE SUBJECT TO A WAIVER OF CLASS ACTION RIGHTS, AS DETAILED IN THE "WAIVER OF CERTAIN RIGHTS" SECTION BELOW.

The following Terms of Service (these "Terms") govern your access to and use of the web services operated by Webcafe Commerce LLC DBA _cafe_ ("TechSnif," "we," "us," or "our"), including techsnif.com (collectively, the "Services").

By continuing to use the Services, you agree to be bound by these Terms of Service and to use the Services in accordance with these Terms of Service, our Privacy Policy, and any additional terms and conditions that are referenced herein or that otherwise may apply to specific sections of the Services, or to products and services that we make available to you through the Services (all of which are deemed part of these Terms of Service). Accessing the Services, in any manner, whether automated or otherwise, constitutes use of the Services and your agreement to be bound by these Terms of Service. Your accessing of the Services for the limited and exclusive purpose of reviewing these Terms of Service does not constitute your "use" of the Services or agreement to be bound by these Terms of Service unless you further access or use the Services.

BY CONTINUING TO USE THE SERVICES, YOU AGREE TO ABIDE BY THESE TERMS, AND IT IS IMPORTANT THAT YOU REVIEW THESE TERMS CAREFULLY BEFORE USING THE SERVICES.

All references to "you" or "your," as applicable, mean the person who accesses or uses the Services, and each of your heirs, assigns, and successors. If you use the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity, your acceptance of the Terms will be deemed an acceptance by that entity, and "you" and "your" herein shall refer to that entity.

We reserve the right to change these Terms of Service or to impose new conditions on use of the Services, from time to time, in which case we will post the revised Terms of Service on this website and update the "Effective Date" to reflect the date of the changes. By continuing to use the Services after we post any such changes or notify you of any material changes, you accept the Terms of Service, as modified.

We also reserve the right to deny access to the Services or any features of the Services to anyone who violates these Terms of Service or who, in our sole judgment, interferes with the ability of others to enjoy our website or infringes the rights of others.

Privacy

Please review our Privacy Policy, which also governs your use of the Services, to understand our practices regarding the information we collect about you through the Services. By using the Services, you indicate that you have read and understand our Privacy Policy, including its disclosures regarding collection, use, and disclosure of your information.

Rights and Restrictions Relating to Services Content

Your Limited Right to Use Services Materials

The Services (including, but not limited to, text, images, photographs, graphics, user interface, screen shots, video and audio content, designs, and computer code, and the selection, coordination, and arrangement of such content) and all the materials available on the Services are the property of us and/or our affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws. The Services are provided solely for your personal noncommercial use. You may not use the Services or the materials available on the Services in a manner that constitutes an infringement of our rights or that has not been authorized by us. More specifically, unless explicitly authorized in these Terms of Service or by the owner of the materials, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Services. You may, however, from time to time, download and/or print one copy of individual pages of the Services for your personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices. For information about requesting permission to reproduce or distribute materials from the Services, please contact us.

All rights in the product names, company names, trade names, logos, service marks, trade dress, slogans, product packaging, and designs of the Services, whether or not appearing in large print or with the trademark symbol, belong exclusively to TechSnif or its licensors and are protected from reproduction, imitation, dilution, or confusing or misleading uses under national and international trademark and copyright laws. The use or misuse of these trademarks or any materials, except as permitted herein, is expressly prohibited, and nothing stated or implied on the Services confers on you any license or right under any patent or trademark of TechSnif, its affiliates, or any third party.

Our Right to Use Materials You Submit or Post

When you submit or post any material via the Services, you grant us, and anyone authorized by us, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, transferable, sublicensable (through multiple levels of licensees), and transferable worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium (whether now known or hereafter developed), for any purpose that we choose. The foregoing grant includes the right to exploit any proprietary rights in such posting or submission, including, but not limited to, rights under copyright, trademark or patent laws that exist in any relevant jurisdiction. Also, in connection with the exercise of these rights, you grant us, and anyone authorized by us, the right to identify you as the author of any of your postings or submissions by name, email address or screen name, as we deem appropriate. You understand that the technical processing and transmission of the Services, including content submitted by you, may involve transmissions over various networks, and may involve changes to the content to conform and adapt it to technical requirements of connecting networks or devices. You will not receive any compensation of any kind for the use of any materials submitted by you.

Your Responsibilities; Restricted Content

The Services may include a variety of features that allow feedback to us and allow users to interact with each other on the Services and post content and materials for display on the Services.

By accessing and using the Services, including any such features, you agree not to post, submit, or transmit any content or material through the Services that:

  • Infringes upon or violates the intellectual property rights, including copyrights, trademarks, patents, or other proprietary rights, or the rights of privacy or publicity of any third party;
  • Is false, misleading, libelous, defamatory, or otherwise misrepresents facts or your affiliation with any person or entity;
  • Is obscene, pornographic, sexually explicit, vulgar, or in poor taste;
  • Is abusive, harassing, predatory, hateful, or intended to intimidate, threaten, or harm any individual or group;
  • Degrades, discriminates against, or incites hatred or violence toward others based on gender, race, class, ethnicity, national origin, religion, sexual orientation, sexual preference, gender identity, disability, or any other classification;
  • Contains epithets, slurs, or other language or material intended to incite violence or intimidate others;
  • Violates any applicable local, state, national, or international law or regulation, or advocates or contains illegal or violent acts;
  • Invades another person's privacy, including revealing personal information or the real name of any user who has chosen to use an alias;
  • Contains unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation;
  • Contains or transmits any adware, malware, spyware, viruses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;
  • Impersonates any person or entity, or otherwise misrepresents your identity or affiliation;
  • Uses any automated or manual process, including but not limited to "robots," "spiders," "scrapers," or similar technologies, to monitor, extract data from, copy, or distribute any data from the Services, our network, or databases;
  • Interferes with or disrupts the Services, servers, or networks, or disobeys any requirements, procedures, policies, or regulations of networks connected to the Services;
  • Uses any features of the Services for purposes other than their intended use; or
  • Assists, permits, or encourages any person to engage in any of the activities described above.

Notwithstanding the foregoing, we may make certain public interfaces available for authorized automated access, including our public website endpoints, public API endpoints, official CLI, and official MCP tooling. Use of those interfaces is permitted only as documented by us and only in a manner that does not bypass access controls, exceed reasonable technical limits, impair the Services, or attempt to access non-public systems, data, or functionality.

We reserve the right to restrict, suspend, or block automated access that we determine, in our sole discretion, is abusive, excessive, unlawful, misleading, security-sensitive, or otherwise harmful to the Services or other users.

Your Representations and Responsibilities

By submitting content, you represent and warrant that you are the owner of the material or have obtained all necessary permissions from the owner and from any individuals featured in the content, including, in the case of minors, the express consent of a parent or legal guardian.

Responsibility for what is posted on the Services lies with each user, and you alone are responsible for the material you post or send. We are not responsible for the speech, content, messages, information or files that you or others may transmit, post or otherwise provide on or through the Services. You understand that we have no obligation to monitor any areas of the Services through which users can supply information or material. However, we reserve the right at all times, in our sole discretion, to screen content submitted by users and to edit, move, delete, and/or refuse to accept any content that in our judgment violates these Terms of Service or is otherwise unacceptable or inappropriate, whether for legal or any other reasons.

Limitations on Linking and Framing

You are free to establish a hypertext link to our Services so long as the link does not state or imply any sponsorship of your website or service by us or by our Services. However, you may not, without our prior written permission, frame or inline link any of the content of our Services or incorporate into another website or other service any of our material, content or intellectual property.

Modifications to, or Discontinuation of, the Services

We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services, or any portion thereof, with or without notice. You agree that we will not be liable to you or to any third party for any modification, suspension or discontinuance of the Services or any portion thereof.

Disclaimer of Warranties

YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK. WE PROVIDE THE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES (INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, AND NON-INFRINGEMENT). TECHSNIF MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT ACCESS TO DATA STORED BY YOU OR OTHERS ON THE SERVICES IS NOT GUARANTEED AND THAT WE SHALL NOT BE RESPONSIBLE TO YOU FOR ANY LOSS OF DATA CAUSED BY THE SERVICES OR THEIR UNAVAILABILITY. WE MAKE NO WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES, OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES, OR THAT DEFECTS IN THE SERVICES WILL BE CORRECTED. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL AND/OR INFORMATION DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE ARISING THEREFROM. THE SERVICES AND INFORMATION ON THE SERVICES ARE PROVIDED "AS IS." THE SERVICES DO NOT WARRANT, EITHER EXPRESSLY OR BY IMPLICATION, THE ACCURACY OF ANY MATERIALS OR INFORMATION PROVIDED ON THE SERVICES OR THEIR SUITABILITY FOR ANY PARTICULAR PURPOSE, AND EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

ALTHOUGH THE INFORMATION PROVIDED TO VISITORS ON THE SERVICES IS OBTAINED OR COMPILED FROM SOURCES WE BELIEVE TO BE RELIABLE, THE SERVICES CANNOT AND DO NOT GUARANTEE THE ACCURACY, VALIDITY, TIMELINESS OR COMPLETENESS OF ANY INFORMATION OR DATA MADE AVAILABLE TO VISITORS OR ITS SUITABILITY FOR ANY PARTICULAR PURPOSE. IN NO EVENT WILL THE SERVICES, THEIR PARENTS, PARTNERS, AFFILIATES, SUBSIDIARIES, MEMBERS, OFFICERS OR EMPLOYEES BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES OR ANY OTHER LOSS OR DAMAGES OF ANY KIND EVEN IF THE SERVICES, THEIR AFFILIATES OR ANY OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY THEREOF.

YOU ACKNOWLEDGE THAT THE PROVISIONS OF THIS SECTION ARE A MATERIAL INDUCEMENT AND CONSIDERATION TO US TO GRANT THE LICENSE CONTAINED IN THIS TERMS OF SERVICE AND TO PROVIDE YOU WITH ACCESS TO THE SITE AND SERVICES AND REPRESENT AND WARRANT TO US THAT ACCEPTANCE AND PERFORMANCE OF ANY ASPECT(S) OF THESE TERMS WILL NOT VIOLATE ANY LAW, ORDINANCE, CHARTER, BY-LAW OR RULE APPLICABLE TO YOU, OR ANY OTHER AGREEMENT BY WHICH YOU ARE BOUND OR BY WHICH ANY OF YOUR OR THEIR ASSETS ARE AFFECTED.

You must provide and are solely responsible for all hardware and/or software necessary to access the Services. You assume the entire cost of and responsibility for any damage to, and all necessary maintenance, repair or correction of, that hardware and/or software. You acknowledge that by using the Services, you may incur charges from your wireless carrier, internet service provider or other method of internet or data access, and that payment of any such charges will be your sole responsibility.

The Services are provided for informational purposes only, and are not intended for trading or investing purposes, or for commercial use. The Services should not be used in any high-risk activities where damage or injury to persons, property, environment, finances or business may result if an error occurs. You expressly assume all risk for such use.

Throughout our Services, we may provide links and pointers to websites maintained by third parties. Our linking to such third-party sites does not imply an endorsement, sponsorship or recommendation of such sites, or the information, products or services offered on or through the sites. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL WE OR OUR SUBSIDIARIES, PARENT COMPANIES OR AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, MANAGERS, EMPLOYEES, SHAREHOLDERS, AGENTS, LICENSORS, CONTRACTORS, OR ANY PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THIS SITE, INCLUDING ITS MATERIALS, PRODUCTS, OR SERVICES, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THIS SITE. Indemnification

You agree to indemnify and hold harmless us, our affiliates, and each of our and their respective directors, officers, managers, employees, shareholders, agents, representatives and licensors, from and against any and all losses, expenses, damages and costs, including reasonable attorneys' fees, that arise out of your use of the Services, violation of these Terms of Service by you or any other person using your account, or your violation of any rights of another. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this section. In such event, you agree to provide us with such cooperation as is reasonably requested by us.

Suspension and Termination of Access

You agree that, in our sole discretion, we may suspend or terminate your access to or use of the Services, or any part of the Services, and remove and discard any materials that you submit to the Services, at any time, for any reason, without notice. You agree that we will not be liable to you or any third-party for any suspension or termination of your access to or use of the Services, or any removal of any materials that you have submitted to the Services. In the event that we suspend or terminate your access to and/or use of the Services, you will continue to be bound by the Terms of Service that were in effect as of the date of your suspension or termination.

Notice of Copyright Infringement

If you are a copyright owner who believes your copyrighted material has been reproduced, posted or distributed via the Services in a manner that constitutes copyright infringement, please inform our designated copyright agent by sending written notice by U.S. Mail to:

Please note that the contact information provided in this paragraph is for suspected copyright infringement only.

Waiver of Certain Rights

No Jury Trial

You and TechSnif each hereby waive any right to a jury trial of any controversy, claim, counterclaim, or other dispute arising between you and TechSnif relating to these Terms or our Site (each a "Claim," and collectively, "Claims").

No Class Representative or Private Attorney General

Each of you and TechSnif agree that with respect to any Claim, neither may: (i) act as a class representative or private attorney general; or (ii) participate as a member of a class of claimants. You agree that neither you nor TechSnif may litigate (or seek to litigate) any Claim on a class or representative basis, and that you and TechSnif may seek relief only through individual Claims. You and TechSnif may not consolidate or join (or seek to consolidate or join) any controversy, claim, counterclaim, or other dispute of other persons or parties who may be similarly situated.

Severability/No Waiver/Survival

If any provision of this section (Waiver of Certain Rights) is found to be invalid or unenforceable, that provision will be deemed appropriately modified to give effect to the intent of the provision or, if modification is not possible, will be severed and the remainder of this section will continue in full force and effect. No waiver of any provision of this section will be effective or enforceable unless recorded in a writing signed by the party waiving such a right or requirement. Such a waiver will not waive or affect any other provision of these Terms. This section will survive the termination of your relationship with TechSnif.

30-Day Opt-Out Right

You have the right to opt out of the provisions of this section by sending, within 30 days after first becoming subject to its terms, written notice of your decision to opt out to the following address:

Your notice must include your name and address, any usernames, each email address you have used in connection with the Services, and an unequivocal statement that you want to opt out of this section. You agree that if you opt out of this section, all other parts of these Terms will continue to apply to you. Opting out of this section has no effect on any other agreements that you may currently have, or may enter in the future, with us.

Limitations

This section limits certain rights, including the right to maintain certain court actions, the right to a jury trial, the right to participate in any form of class or representative claim, and the right to certain remedies and forms of relief.

Restrictions

The Services are intended for use only by residents of the United States over the age of 13. They may not comply with legal requirements of foreign countries. Other countries may have laws and regulatory requirements that differ from those in the U.S. By using this Services, you agree to the transfer and processing of any personal information you provide to the U.S. as set forth in the Privacy Policy under the laws of the United States and the State of California, rather than under the law of your home country.

Miscellaneous

This agreement constitutes the entire agreement between us and you with respect to the subject matter contained in this agreement and supersedes all previous and contemporaneous agreements, proposals and communications, written or oral. You also may be subject to additional terms and conditions that may apply when you use the products or services of a third party that are provided through the Services. In the event of any conflict between any such third-party terms and conditions and these Terms of Service, these Terms of Service will govern. This agreement will be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. The failure of TechSnif to enforce any provision(s) of these Terms or respond to a breach by any party shall in no way waive TechSnif's right to subsequently enforce any of these Terms or respond to any breaches.

This agreement is personal to you and you may not assign it or any associated rights hereunder to anyone. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. If any provision of this agreement is found to be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from this agreement and will not affect the validity and enforceability of any remaining provisions. These Terms of Service are not intended to benefit any third party, and do not create any third-party beneficiaries. Accordingly, these Terms of Service may only be invoked or enforced by you or us.
